These Terms of Use (“Terms”) govern access to and use of the Clarhet, including related websites, applications, APIs, artificial intelligence features, and services (collectively, the “Services”) provided by Clarhet (“Company,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent (“Customer,” “you,” or “your”). If you do not agree to these Terms, you may not access or use the Services.

Business Use Only; Authority

1.1 Business Use Only

The Services are offered solely for business and professional use. You represent and warrant that you are using the Services on behalf of a business entity or in a professional capacity.

1.2 Authority

If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1.3 Eligibility

You must be at least the age of majority in your jurisdiction to use the Services.

Business Use Only; Authority

2.1 AI Features

Any functionality that generates, summarizes, classifies, recommends, forecasts, or otherwise produces content using machine learning or artificial intelligence.

2.2 Customer Data

All information, files, documents, prompts, text, and other data submitted to the Services by or on behalf of Customer.

2.3 Input

Customer Data provided to AI Features.

2.4 Output

Content generated by AI Features in response to Input.

2.5 Third-Party Services

Third-party platforms, processors, tools, or services used in connection with the Services, including payment processors such as Stripe.

Account Registration and Security

3.1 Accurate Information

You agree to provide accurate, current, and complete information and to keep such information updated.

3.2 Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Security Notice

You agree to promptly notify us of any unauthorized access or suspected security incident involving your account.

License; Access; Restrictions

4.1 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.

4.2 Restrictions

You agree not to:

  • reverse engineer, decompile, or attempt to discover source code or underlying components
  • copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Services
  • bypass or interfere with security, access controls, or rate limits
  • scrape, bulk extract, or systematically harvest data from the Services
  • use the Services to develop or train competing AI systems or models
  • use the Services for illegal, harmful, or infringing activity
  • introduce malware, attempt unauthorized access, or disrupt the Services

Acceptable Use; High-Stakes Restrictions

5.1 Compliance with Law

You are solely responsible for your use of the Services and must comply with all applicable laws and regulations.

5.2 High-Stakes Decisions

You will not use the Services or Output to make fully automated decisions with legal, financial, employment, credit, housing, insurance, medical, or similarly significant impacts on individuals without independent professional review and compliance with applicable law.

5.3 Customer Controls

You are responsible for implementing appropriate human review, oversight, and internal controls for your use of the Services.

AI Features; Output Disclaimer

6.1 Probabilistic Nature

AI Features operate using probabilistic models and may generate Output that is inaccurate, incomplete, misleading, or unsuitable for your intended purpose.

6.2 Independent Verification Required

Output is provided for informational purposes only. You are solely responsible for:

  • evaluating Output before relying on it
  • verifying accuracy
  • ensuring compliance with applicable law and internal policies

6.3 No Guarantee of Accuracy

We do not guarantee that Output will be accurate, unique, reliable, or non-infringing.

Customer Data; Ownership; License

7.1 Ownership

As between the parties, Customer retains all rights in Customer Data.

7.2 License to Operate the Services

You grant the Company and its service providers a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, reproduce, and display Customer Data solely for purposes of:

  • providing and maintaining the Services
  • improving reliability and security
  • preventing abuse and enforcing these Terms
  • complying with legal obligations

7.3 Operational and Aggregated Data

We may collect and use aggregated, anonymized, or operational data to maintain and improve the Services.

7.4 AI Training Policy

Customer Data will not be used to train general-purpose AI models unless you explicitly opt in.

7.5 Sensitive Data

Unless expressly agreed in writing, you may not submit sensitive or regulated data including:

  • health data
  • government identification numbers
  • payment card data
  • children's data
  • other regulated personal data

Third-Party Services

  • The Services may integrate with Third-Party Services.
  • Third-Party Services are governed by their own terms and privacy policies.
  • To the maximum extent permitted by law, the Company is not responsible for outages, errors, security issues, or data practices of Third-Party Services.
  • If payments are processed through a third party such as Stripe, you authorize that provider to process payments according to their terms.

Fees; Billing; Taxes

9.1 Fees

You agree to pay all fees described at purchase or in any order form.

9.2 Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date.

9.3 No Refunds

Fees are non-refundable except where required by law.

9.4 Taxes

Fees do not include taxes. You are responsible for all applicable taxes except taxes based on the Company’s net income.

Confidentiality

Each party agrees to protect the other party’s Confidential Information using reasonable care and to use such information only for purposes related to these Terms.

Confidential Information does not include information that:

  • becomes publicly available without breach
  • is independently developed
  • is rightfully received from a third party

Intellectual Property

  • All rights in the Services, including software, models, documentation, and design, are owned by the Company or its licensors.
  • No rights are granted except those expressly stated in these Terms.
  • If you provide feedback, you grant the Company a perpetual, irrevocable, royalty-free right to use that feedback.

Suspension and Termination

We may suspend or terminate access to the Services at any time if:

  • you violate these Terms
  • your use creates risk or legal exposure
  • continued operation becomes impractical

Upon termination, your right to access the Services immediately ends. Sections relating to liability, disclaimers, indemnity, and dispute resolution will survive termination.

Service Changes

  • We may modify, discontinue, or update the Services at any time.
  • Unless otherwise agreed in writing, the Services are provided without any service-level guarantees or uptime commitments.

Disclaimer of Warranties

To the maximum extent permitted by law, the services and all AI features and output are provided "AS IS" and "AS AVAILABLE."

The company disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy
  • Availability
  • Security

Limitation of Liability

To the maximum extent permitted by law, the company and its affiliates will not be liable for any indirect, incidental, special, consequential, or exemplary damages.

Our total liability for all claims related to the services will not exceed the greater of $100 or the amount you paid us in the past 12 months.

Customer Indemnity

You agree to defend, indemnify, and hold harmless the Company and its affiliates from any claims arising from:

  • your use of the Services or Output
  • Customer Data submitted to the platform
  • violation of law or these Terms
  • decisions or actions taken using Output
  • disputes with third parties

Governing Law

These Terms are governed by the laws of Ontario, Canada.

Any disputes will be brought exclusively in the courts located in Toronto, Ontario, and you consent to jurisdiction there.

General

These Terms constitute the entire agreement between the parties regarding the Services.

If any provision is found unenforceable, the remainder will remain in effect.

Failure to enforce a provision is not a waiver of rights.
